BY PARTICIPATING AS AN INSIDER, YOU ARE AUTOMATICALLY ENROLLED TO PARTICIPATE IN THE INSIDERS PROMOTIONAL PROGRAMS. AS AN INSIDER, YOU AGREE TO BE BOUND BY THESE GUIDELINES, SO PLEASE READ THEM CAREFULLY.

• ACKNOWLEDGEMENT AND ACCEPTANCE OF THE INSIDER PROGRAM GUIDELINES.

The Insiders promotional programs (“Programs”), sponsored by Alloy Media + Marketing (“Alloy”), are provided to you (“you” or “Member”) under the terms and conditions of these Program Guidelines and any amendments to it and any operating rules or policies (collectively, the “Guidelines”). By registering as an Insider, you accept these Guidelines. Alloy reserves the right to update and change these Guidelines from time to time with or without notice to you. Any failure to follow these Guidelines by you may result in the termination of your participation.

• PROGRAM OVERVIEW

The Programs are programs in which Insiders can participate in assignments and be eligible for prizes, if any, associated with such assignments set forth on the program web site at http://www.theinsidersnetwork.com (the “Insiders Website”). Insiders program membership and the Programs are open to legal residents of the fifty United States and the District of Columbia who are between 13 and 25 years of age.

• PRIVACY POLICY AND STATEMENT

You acknowledge and agree that Alloy may disclose to third parties certain personally identifying information provided by you as part of the registration process in order to send you prizes associated with participation as an Insider. By participating in the Program, you also agree to the use of your personal information as described in the Privacy Statement at http://www.theinsidersnetwork.com.

• RELEASE

You acknowledge and agree that as an Insider, by participating in the Programs you will have the opportunity to submit materials to Alloy such as essays, survey responses, photographs, videos and artwork. You grant Alloy and their promotional companies conducting the Programs the right to utilize your name, biographical information, image and likeness (“Trait”) and other materials otherwise submitted to us by you including photographs uploaded to the Insider website for display on the Insider website. We may alter and edit the photographs uploaded to the Insider on the Insider website or materials otherwise submitted to us and that you shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based upon invasion of privacy, defamation, or right of publicity) in connection with the photographs, other submitted materials or Traits. The Traits will be presented in a positive manner and in the best light when displayed by us. The photographs and other materials uploaded or otherwise submitted to us shall be our property with no requirement to return or replace any such materials.

Except where prohibited by law, you grant permission for Alloy their advertising and promotional agencies, and those acting under the authority of each to use your Traits and any and all submissions made at the Insiders website for publicity purposes related to Alloy services, the products and services of the sponsors on the Insider Website, and the Programs in all media now known or hereafter discovered, worldwide and on the world wide web, without notice, review, approval, or additional compensation. You agree, if requested, to confirm the grants made in this “Release” section in writing, either directly, or if under the age of consent, through a parent or legal guardian.

• REGISTRATION

When you receive your account login code and password as an Insider, you are automatically set up with a Program account. You agree to immediately notify Alloy of any unauthorized use of your account or any other breach of security known to you.

• PROGRAM ACTIVITIES

To be eligible to obtain promotional items as set forth on the Program web page you must undertake an activity or task for which you are eligible to earn publicized items. Such activities will be as announced and described on http://www.theinsidersnetwork.com. Alloy expressly reserves the right to establish additional means of participating in promotions, alter existing activities, or delete any or all of the means or activities currently in effect.

• PROMOTIONAL PRIZES

You may be provided with a promotional prize based on your participation in the Program. Some promotional prizes have limited availability and all such prizes may be subject to availability and other terms and conditions. Alloy makes no representation or warranty concerning the appearance, safety or performance of any promotional prize. You are responsible for taxes, if any, due on promotional prizes. Alloy reserves the right to modify substitute or cancel any promotional prize offering at any time.

• RESERVATION OF RIGHTS

The Programs and their benefits are offered at the discretion of Alloy, and Alloy has the right to modify or discontinue, temporarily or permanently, the Programs, in whole or in part for any reason, at its sole discretion, with or without notice to you. Alloy may, among other things, withdraw, limit, modify or cancel any prize; or modify or regulate the transferability of prizes or benefits. You agree that Alloy will not be liable to you or any third party for any modification or discontinuance of a Program.

• FRAUD

Fraud or abuse relating to the registration process, providing of personal information, or in connection with the distribution of promotional prizes may result in the termination of your Insider participatory status. You are solely responsible for any fraudulent use that could occur due to the theft of or sharing of your Insider password. The Programs are a service provided to an individual Insider, and not to a company or other entity. ANY ATTEMPT BY ANY MEMBER OR ANY OTHER INDIVIDUAL OR ENTITY TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF A PROGRAM IS A VIOLATION OF CRIMINAL AND DIVEL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ALLOY RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

• LIMITATION OF LIABILITY, AND INDEMNITY

UNDER NO CIRCUMSTANCES SHALL ALLOY, (OR THEIR PARENTS, SUBSIDIARIES AND AFFILIATES AND OF THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND REPRESENTATIVES) BE LIABLE TO YOU OR ANY THIRD PARTY FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVENT IF THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM THE USE OF OR INABILITY TO USE A PROGRAM, THE INSIDERS WEBSITE OR IN CONNECTION WITH ANY OTHER PROVISION OF THESE GUIDELINES. You accept all responsibility for, and hereby indemnify and hold harmless Alloy and their respective parent, subsidiaries, and affiliates and each of their respective directors, officers, employees, agents and representatives, from any and all liability regarding your participation in a Program, the Insider Website, the receipt of promotional prizes, use of promotional prizes, or other injuries you may incur as a result of your participation in the Program.

• APPLICABLE LAWS

Participation in the Programs is subject to all applicable ordinances, statutes and laws. Any and all claims related to a Program shall be subject to the laws of the State of New York, without regards to its conflict of laws rules. The federal, state and locals courts located in the county of New York, NY shall have exclusive jurisdiction over all such claims.

• NOTE TO PARENTS

The Insiders Website will not knowingly accept personal information from anyone under 13 years of age in violation of applicable laws.
